Draft for attorney review
This page has not been reviewed or signed off by an attorney. It is written to be redlined rather than relied on: the bracketed items in it mark every point where a real decision is still missing, and they are left visible on purpose.
These terms are the agreement between you and Filone Inc., a Florida corporation trading as Wayrali, when you use this site or ask us to reserve a stay. Every section exists because something can go wrong, and you should know in advance who handles it.
1. Who we are
Wayrali is a booking site operated by Filone Inc., a Florida corporation, at 1900 West Oakland Park Boulevard, Unit 5881, Fort Lauderdale, FL 33310, United States. In these terms, “we”, “us” and “Wayrali” mean Filone Inc. “You” means the person using this site or asking us to reserve a stay.
By using this site you agree to these terms. If you do not agree with them, do not use it.
2. What Wayrali is, and is not
We arrange short stays — normally two or three nights — in resort accommodation we hold the right to occupy and let. We are not a hotel, we are not a resort, we are not retained by any resort, and we are not a marketplace where strangers list rooms.
- We are not affiliated with, endorsed by, or sponsored by Hilton, Hilton Grand Vacations, Bluegreen, Marriott, or any other resort or hotel brand. Resort names appear on this site as plain text, for one purpose only: to say where a stay is.
- All resort names, marks and logos remain the property of their owners. Their appearance here creates no relationship between them and us.
- We do not own or operate the properties. The property controls the accommodation, the unit you are assigned, its on-site services and its own rules.
- We do not sell memberships, points, club enrolments, or any interest in real property, and we do not market them. You are booking nights.
3. How a booking is made
There is no online checkout on this site and no automated booking engine. Nothing you do here reserves accommodation by itself.
Anything you send us — a set of dates, an enquiry, a request to hold something — is a request. It is not a reservation, it does not take the dates off the market, and it does not create a contract. A booking exists only once we have confirmed it to you in writing and payment has been taken. Until both of those have happened, either side can walk away and nothing is owed.
We will show you the total before you are asked to pay anything: the accommodation charge, each tax by jurisdiction, and any fee we charge. Nothing is added later that was not shown first.
Operator decision
[NEEDS OPERATOR DECISION: how a booking request is submitted, acknowledged and paid for while there is no online checkout. This section describes a request-and-confirm process because that is what exists today. It has to be rewritten the day payment goes live, not after.]
4. Prices, taxes and fees
A price shown on this site is the full amount payable to us for that stay, and it is itemised before you pay.
Florida stays of fewer than six months normally carry Florida state sales tax, the county discretionary sales surtax, and the county tourist development tax. The rates and the jurisdictions are set by the taxing authorities and can change.
Operator decision
[NEEDS OPERATOR DECISION: whether a processing fee is charged as its own line or absorbed into the nightly rate, and what it is. No fee amount is stated on this page until that is settled — a fee described here and charged differently at checkout is drip pricing.]
Charges the property collects at the resort — parking, and anything you charge to your room — are not part of our price and are not paid to us. Where a property charges anything on arrival, it belongs on that property’s page, stated plainly.
Operator decision
[NEEDS OPERATOR DECISION: whether each listed property charges a resort fee, a parking charge, or a deposit on arrival. Until that is confirmed property by property, no stay may be described as including everything you will pay.]
If a price is displayed wrongly because of an obvious error, we will contact you before charging you and you can walk away owing nothing. We will not silently charge a corrected price.
5. Payment
We do not receive, handle or store full card numbers. Payment is handled by a payment processor; your card details go to them, not to us.
You must be at least 18 and authorised to use the card. Authorising payment for a confirmed booking authorises the full amount we have shown you, and nothing beyond it.
Operator decision
[NEEDS OPERATOR DECISION: the payment processor. No merchant account has been approved for this business and the card-network category that applies to it is a restricted one. This page names no processor until an account exists, because naming one would be a claim about an account we do not have.]
6. Cancellations and refunds
Cancellations are governed by our cancellation policy, which forms part of these terms and is set out in full on its own page.
One point from it belongs here as well, because it cannot be traded away: if you cancel within 14 calendar days of the booking being made, you are entitled to a full refund of everything you paid. Nothing on this site reduces that or attaches a condition to it.
7. Your stay, and what the property requires
- The reservation is in the guest name you give us. Bring government photo identification that matches it — if the names do not match, the property may refuse check-in.
- You must not exceed the stated occupancy of the accommodation. Occupancy limits are the property’s, not ours.
- You are responsible for following the property’s rules, and for any damage or charges it assesses during your stay.
- You may not resell, relist or transfer a booking made through us.
- Stays are for personal use. Bookings made for commercial purposes, for events, or for subletting are not permitted.
If the property has no record of your reservation at check-in, contact us before you leave the desk. We can reach the property while you are standing there, which is far faster than sorting it out afterwards.
Operator decision
[NEEDS OPERATOR DECISION: the hours during which someone actually answers, and on which channel. The design assumed a staffed telephone line answered 7 AM to 11 PM Eastern every day. No line exists and those hours have not been committed to, so this page promises reachability and states no hours.]
8. If we cannot deliver your stay
Our liability is limited, but it is not zero, and we will not hide behind this section.
If we cannot deliver a stay you have paid for — because the reservation was never placed, because the property cancelled it, or because the accommodation is materially different from what we described — we refund you in full, including any fee we charged, without you having to ask.
Beyond that refund, and to the fullest extent the law allows, our total liability to you in connection with a booking is limited to the amount you paid us for that booking. We are not liable for indirect or consequential losses, including flights, car hire, event tickets, lost time or lost enjoyment.
We hold no travel-seller registration, no travel agency licence, no surety bond, no professional accreditation and no errors-and-omissions cover, and we do not claim any. Where the law requires one for something we do, we will obtain it before doing that thing and say so here.
Attorney review
[Attorney review] The gap between our confirmation and the property’s confirmation is the legal pressure point in this business. This section needs to state precisely what we owe a customer whose reservation is never issued, and the remedy needs to survive review rather than rest on goodwill.
Attorney review
[Attorney review] Florida limits how far a seller of travel may restrict its liability, and Florida operates a Seller of Travel registration regime under Fla. Stat. ch. 559, part XI. Whether it reaches this business as it currently operates — and from what point it would — needs a view before launch. No registration is held today. The sentence above says so, and it must be updated the day that changes rather than left to drift.
9. Things outside anyone’s control
Neither of us is liable for a failure to perform caused by events beyond reasonable control, including weather, natural disaster, property closure, utility failure, government action or public health orders. If such an event prevents your stay, we refund in full what you paid us. We cannot refund what you paid anyone else.
10. The site itself
We try to keep this site accurate and available, but we do not guarantee it will be uninterrupted or error-free. Property descriptions, amenity lists and images are general information and can change without notice. The property is the authority on its own facilities.
You may not scrape, copy or republish content from this site, interfere with its operation, or attempt to reach accounts or data that are not yours.
11. Privacy
How we handle personal information is set out in our privacy policy, which forms part of these terms. The disclosure that matters most: to place a reservation we have to give the property your name and your stay details. There is no way to book accommodation without it.
12. Disputes
These terms are governed by the laws of the State of Florida, without regard to its conflict of law rules.
Before starting any formal proceeding, contact us and give us a genuine chance to fix the problem. Most things people escalate are things we would simply have refunded.
Attorney review
[Attorney review] No binding arbitration clause, no class-action waiver and no venue selection clause has been drafted here. That is deliberate, not an oversight. Each is a business decision with real trade-offs, including consumer-protection limits in several states, and the operator has not made it. Do not insert a standard clause in place of that decision.
13. Changes to these terms
We may update these terms. The version that applies to a booking is the version published when that booking was confirmed, and we keep earlier versions. Material changes are noted at the top of this page with the date they took effect.
